Mergers and Acquisitions Laws

  • Competition and Consumer Act 2010 (Cth)

    Mergers and Acquisitions in Australia are regulated by the Australian Competition and Consumer Commission (ACCC) according to the Competition and Consumer Act 2010 (previously the Trade Practices Act 1974).

    If a company planning an M&A meets a combined threshold, the relevant stakeholders must seek approval from the ACCC before proceeding.

    The ACCC body aims to ensure that a merger or acquisition does not lead to anti-competitive behaviour or harm consumers.

  • Part 5.1 and Chapter 6 of the Corporations Act (Cth) (Corporations Act)

  • Australian Securities and Investments Commission (ASIC)

  • The Takeovers Panel (Panel)

  • The Foreign Acquisitions and Takeover Act 1974 (Cth). Also known as FATA. The act contains laws regulating acquisitions of Australian businesses and assets by foreign investors.

  • Income Tax Assessment Act 1977 (Cth). This act regulates the taxation of M&As in Australia.
